1. Acceptance of Terms

These Terms and Conditions ("Terms") govern your access to and use of Uren Capitrace (the "Platform"), including any content, functionality, and services offered through uren-capitrace.sbs and associated domains (collectively, the "Services").

By accessing or using the Services, you ("User", "you", or "your") agree to be bound by these Terms and our Privacy Policy. If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

• Educational resources and market intelligence
• Tax reporting tools for Canadian investors

4. Account Registration and Security

To access certain features of the Platform, you must register for an Account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your Account information
• Maintain the security of your Account credentials
• Notify Uren Capitrace immediately of any unauthorized access or security breach
• Accept responsibility for all activities that occur under your Account

Uren Capitrace reserves the right to suspend or terminate Accounts that provide false information or violate these Terms.

5. User Responsibilities and Acceptable Use

You agree to use Uren Capitrace Services responsibly and in compliance with all applicable laws and regulations. You specifically agree not to:

• Use the Services for any illegal purpose or in violation of any laws
• Attempt to gain unauthorized access to the Platform or other users' Accounts
• Use automated systems (bots, scrapers, etc.) to access the Services without permission
• Interfere with or disrupt the integrity or performance of the Services
• Reverse engineer, decompile, or disassemble any aspect of the Platform
• Use the Services to transmit malware, viruses, or harmful code
• Impersonate any person or entity or misrepresent your affiliation
• Share your Account credentials with third parties

Uren Capitrace reserves the right to investigate and prosecute violations of these Terms to the fullest extent permitted by law.

6. Risk Disclosures and Investment Warnings

By using Uren Capitrace Services, you acknowledge and agree that:

• Cryptocurrency markets are highly volatile and unpredictable
• Uren Capitrace does not guarantee investment returns or profits
• All investment decisions are your sole responsibility
• You should only invest funds you can afford to lose completely
• You should consult with qualified financial advisors before making investment decisions
• Cryptocurrency regulations vary by jurisdiction and may change
• Technical issues, market manipulation, and other factors can affect prices

Uren Capitrace analytics and insights are based on historical data and probabilistic models. They are not predictions of future performance and should not be relied upon as such.

7. Intellectual Property Rights

The Uren Capitrace Platform and all content, features, and functionality are owned by Uren Capitrace Inc. and are protected by Canadian and international copyright, trademark, patent, trade secret, and other intellectual property laws.

Subject to your compliance with these Terms, Uren Capitrace grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal, non-commercial use.

You may not:

• Copy, modify, or create derivative works of the Platform
• Use Uren Capitrace trademarks, logos, or branding without written permission
• Extract data from the Platform for commercial purposes
• Remove any copyright or proprietary notices
• Use the Platform to develop competing services

User Content remains your property. By submitting User Content, you grant Uren Capitrace a worldwide, royalty-free license to use, store, and process that content to provide the Services.

8. Third-Party Services and Links

Uren Capitrace may integrate with or provide links to third-party services, including cryptocurrency exchanges, payment processors, and analytics providers. These third-party services have their own terms and privacy policies.

Uren Capitrace is not responsible for:

• The content, accuracy, or practices of third-party services
• Losses or damages resulting from third-party service failures
• Security breaches or data loss at third-party services
• Changes to third-party APIs or service availability

When you connect your exchange accounts to Uren Capitrace, you acknowledge that you are subject to the terms of those exchanges and that Uren Capitrace accesses your exchange data only with your explicit permission through read-only API keys.

9. Fees, Payments, and Subscriptions

Uren Capitrace offers both free and paid subscription plans. Paid subscriptions ("Premium Services") are billed in advance on a recurring basis.

• All fees are quoted in Canadian dollars (CAD) and exclude applicable taxes
• You authorize Uren Capitrace to charge your chosen payment method for recurring fees
• Subscription fees are non-refundable except as required by law
• We may change subscription fees with 30 days' notice
• Failure to pay may result in suspension or termination of Services

You may cancel your subscription at any time through your Account settings. Cancellation will take effect at the end of your current billing period.

10. Limitation of Liability

In no event shall Uren Capitrace's total liability to you for all claims exceed the amount paid by you to Uren Capitrace for the Services in the twelve (12) months preceding the claim, or one hundred Canadian dollars (CAD $100), whichever is greater.

This limitation of liability applies regardless of the legal theory (contract, tort, negligence, etc.) and even if Uren Capitrace has been advised of the possibility of such damages.

Some jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages, so the above limitations may not apply to you.

11. Indemnification

You agree to defend, indemnify, and hold harmless Uren Capitrace, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with:

• Your access to or use of the Services
• Your violation of these Terms
• Your violation of any third-party right, including intellectual property rights
• Your User Content
• Your conduct in connection with the Services

12. Termination and Suspension

Uren Capitrace may suspend or terminate your access to the Services at any time, with or without cause, with or without notice, effective immediately.

Grounds for termination may include:

• Violation of these Terms
• Requests by law enforcement or government agencies
• Discontinuation or material modification of the Services
• Unexpected technical or security issues
• Extended periods of Account inactivity

Upon termination, your right to use the Services will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to its conflict of law provisions.

Any dispute arising from or relating to these Terms or the Services shall be resolved through binding arbitration in Toronto, Ontario, in accordance with the Arbitration Act (Ontario). The arbitration shall be conducted in English.

Notwithstanding the above, Uren Capitrace may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights.

14. Changes to These Terms

Uren Capitrace reserves the right to modify or replace these Terms at any time at our sole discretion. If we make material changes, we will provide notice through the Platform or by email at least 30 days before the changes take effect.

Your continued use of the Services after any changes to these Terms constitutes your acceptance of the new terms. If you do not agree to the changes, you must stop using the Services and cancel your Account.

It is your responsibility to review these Terms periodically for changes. The "Last updated" date at the top of this page indicates when these Terms were last revised.

15. General Provisions

• Entire Agreement: These Terms constitute the entire agreement between you and Uren Capitrace regarding the Services
• Severability: If any provision of these Terms is held invalid, the remainder shall continue in full force
• No Waiver: Failure to enforce any right or provision shall not constitute a waiver
• Assignment: You may not assign these Terms without Uren Capitrace's written consent
• Force Majeure: Uren Capitrace is not liable for delays or failures due to circumstances beyond our reasonable control
• Language: These Terms are available in English only
